Terms and conditions


GENERAL CONDITIONS OF SALE AND DELIVERY OF GOODS


A. Scope of application.

The following General Terms and Conditions of Sale and Delivery shall apply to all contracts of sale and delivery of goods purchased at Etilab Sp. z o.o. with its registered office in Gliwice ul. Zygmunta Starego 11A, KRS: 0000154226, REGON: 277284161, NIP: 631-23-00-488. By placing an order for goods, the Customer declares that he/she is familiar with these GTS and accepts all of their provisions.
In the event that the provisions of the contract concluded with the Ordering Party differ from the provisions of these GTCS, the provisions of the contract shall prevail.

B. Order acceptance.

(1) Orders shall be accepted in writing via e-mail sent to info@etilab.pl.
(2) Acceptance of an order is each time confirmed by Etilab Sp. z o.o. to the sender's address. Failure to confirm the order means that Etilab Sp. z o.o. has not accepted the order for execution.
Orders for printed labels are executed on the basis of files prepared by the customer. Guidelines for preparing files for printing are available on our website at: https://www.etilab.pl/przygotowanie-plikow Etilab sp. z o.o. is not obliged to check files before printing.
In response to the order, Etilab Sp. z o.o. may propose other rules of order fulfillment than those specified by the customer, in such case, if the customer does not submit a statement of cancellation within 3 working days, the order will be realized on the terms and conditions specified by Etilab Sp. z o.o.

When placing an order, it is necessary to take into account the tolerance of the label dimension, which is up to 0.5 mm in each direction; the tolerance of the label cutting accuracy in relation to the design, which is also up to 0.5 mm in each direction; and the tolerance on quantities, which is +/- 5%.

C. Lead time, receipt of goods or dispatch, inability to deliver.

(1) The order completion date is specified each time in the order confirmation sent by Etilab Sp. z o.o..
(2) The order completion date is not the same as the date of delivery or collection of the order.
(3) The deadline for receipt of goods or shipment shall be extended in the event of circumstances beyond the control of Etilab Sp. z o.o. provided that Etilab Sp. z o.o. notifies the Customer of the occurrence of such circumstances.

D. Packing, collection and assumption of risk 1.

As a standard, goods are packed in cardboard boxes. 2.
Any non-standard packaging shall be specified in the order, and its costs shall be borne by the Customer in each case. The place of receipt of goods is the seat of Etilab Sp. z o.o. or its production plant located in Żory (44-240) at ul. Boczna 8.
The dispatch of goods and their insurance for the time of transport takes place only if specified in the order. The costs of transport and insurance shall be borne by the purchaser in each case, unless the parties agree otherwise.
4th The risk of accidental loss of the goods shall pass to the Ordering Party at the time of handing over the goods to the Ordering Party, and in the case of shipping, handing over the goods to the forwarder or carrier indicated by the Ordering Party.
(5) Etilab Sp. z o.o. shall not be liable for failure to meet the delivery date if it is due to circumstances attributable to the carrier.


E. Prices - payment

(1) The agreed price of the subject of the order does not include the cost of shipping, custom packaging and VAT.
(2) We shall charge statutory interest in the event of late payment.
3) If the Customer is in arrears with payment of a previous order or with payment of an agreed advance/prepayment, Etilab Sp. z o.o. reserves the right to suspend or discontinue the execution of the order until the arrears are settled.

F. Quality guarantee, complaint procedure.

1. Etilab Sp. z o.o. provides a one-month warranty for purchased goods. The warranty period starts from the date of delivery of the ordered goods to the Purchaser.
(2) Quality complaints should be submitted in writing to the e-mail address: info@etilab.pl within 3 days from the date on which the defect is revealed. The complaint should be accompanied by photographs of the defective goods and a description of the problem. At the request of Etilab Sp. z o.o. The Purchaser will be obliged to send a sample or the whole batch of the advertised goods. 3.
Quality complaints may refer only to non-compliance of the supplied goods with the order, i.e. Quality complaints may only relate to non-conformity of the delivered goods with the order, i.e. the quality of the materials, use of a material other than that specified in the order, production technology other than that specified in the order, failure to meet other technical parameters strictly specified in the order, such as dimensions or manner of confection.
(4) Printing errors resulting from the delivery of improperly prepared files by the ordering party are not subject to complaints.
(5) Slight deviations of the printing colours from the colour scheme approved by the customer are not subject to complaints. The same applies to the comparison of proofs with the print run. Any colour complaints will be dealt with on the basis of the colour samples approved by the Principal and released for printing.
(6) In the case of printing on entrusted materials, Etilab Sp. z o.o. shall not be held liable for the quality and suitability of the material supplied.
7th Quantitative complaints should be submitted within 2 days from the date of delivery of the ordered goods to the Ordering Party.
(8) The Purchaser shall be obliged to carry out its own tests of the suitability of the ordered goods for specific applications. This also applies to the application method.
(9) Since the use of the products is beyond the control of Etilab Sp. z o.o., the company shall not accept liability for any related damage.
(10) In the event of a justified quality complaint (goods defects) during the warranty period, Etilab Sp. z o.o. undertakes to rectify them at its discretion by repairing the goods supplied or supplying defect-free goods in the same quantity. The time limit for removal of defects is up to 7 working days from the date of notification.
(11) In the case of a justified quantity complaint, Etilab Sp. z o.o. will supplement the missing quantity of goods.
12. the liability of Etilab Sp. z o.o. under the warranty referred to in the provisions above is exclusive, i.e. the Customer shall not be entitled to any claims other than those described in these provisions, in particular the liability of Etilab Sp. z o.o. under warranty for defects is excluded.

G. General limitation of liability.

(1) The Customer shall be liable if, through the performance of his order, the rights of third parties have been infringed, unless this infringement is a consequence of the culpable action of Etilab Sp. z o.o.
(2) The liability of Etilab Sp. z o.o. for lost profits is excluded. In any case, the liability of Etilab Sp. z o.o. shall be limited to the amount equivalent to the order whose non-performance or improper performance caused the damage.

H. Place of performance, competent court and applicable law

(1) The place of performance of deliveries and payments shall be deemed to be the registered office of Etilab Sp. z o.o.
2. the exclusive court for all disputes arising between the parties shall be the District Court in Gliwice or the Regional Court in Gliwice (according to the material jurisdiction of these Courts).
